1. Definitions & Legal Entity Identification
1.1 About iProTech
“iProTech” is a trading name used under licence by the following companies, each of which operates as a separate legal entity:
- iProTech Limited – (company number 13314819) Brand and intellectual property owner
- iProTech Systems Limited – (company number 10803107) Provider of systems, IT, electrical, smart technology, networking, and related services
- iProTech Training Limited – (company number 10835230) Provider of training, education, and professional development services
All companies are registered in England & Wales. Registered office: 3rd Floor, 86-90 Paul Street, London EC2A 4NE
2. Contracting Party
2.1 Who You Are Contracting With
Any contract for goods or services entered into under the iProTech trading name shall be made solely with the specific iProTech company identified in the relevant quotation, order confirmation, invoice, or written agreement (the “Contracting Company”).
Only the Contracting Company shall be responsible for the performance of the services, and no other iProTech company shall have any liability in respect of that contract.
3. Scope of Services by Entity
3.1 Systems & Installation Services
Where services relate to IT systems, digital services, electrical works, smart home or business systems, networking, automation, security, audio-visual systems, or related installation services, the Contracting Company shall be iProTech Systems Limited, unless otherwise stated in writing.
3.2 Training & Education Services
Where services relate to training courses, qualifications, workshops, online learning, apprenticeships, or professional development, the Contracting Company shall be iProTech Training Limited, unless otherwise stated in writing.
3.3 Brand & Marketing
iProTech Limited does not provide installation or training services directly and acts solely as the owner and licensor of the iProTech brand and associated intellectual property.
4. Invoices, Payments & VAT
4.1 Invoicing
All invoices shall be issued by the relevant Contracting Company and shall clearly state its registered company name, company number, and VAT registration number (where applicable).
4.2 Payments
Payments must be made only to the bank account of the Contracting Company named on the invoice. Payments made to any other entity shall not discharge the Customer’s payment obligations.
5. Liability & Responsibility
5.1 Limitation to Contracting Company
Liability arising under or in connection with any contract shall be limited to the Contracting Company only.
No liability shall attach jointly or severally to any other iProTech company.
5.2 No Group Liability
The use of the iProTech trading name does not create a partnership, joint venture, or agency relationship between the iProTech companies or between any iProTech company and the Customer.
6. Intellectual Property
6.1 Brand Ownership
The iProTech name, logo, website content, and associated intellectual property are owned by iProTech Limited and are used by other iProTech companies under licence.
6.2 Customer Use
No rights are granted to Customers to use the iProTech brand or intellectual property without prior written consent.
7. Governing Law
7.1 Jurisdiction
These Terms & Conditions and any dispute arising from them shall be governed by and construed in accordance with the laws of England & Wales, and the courts of England & Wales shall have exclusive jurisdiction.
